Senior Paralegal (Debt Finance) The applicant will assist the attorneys with all aspects of leveraged finance and private equity transactions, as well as corporate acquisition and sales transactions. will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings. May also include: entity formation; ongoing corporate maintenance; drafting board minutes and maintaining minute books. Requirements: A Bachelor's degree and 3+ years of background as a corporate paralegal is required. Background on both borrower and lender side of leveraged finance transactions is preferred.
