Corporate and Real Estate Transactional Attorney - (Sugar Land, TX)

Sugar Land office of our client seeks corporate and real estate transactional attorney with 3-5yrs of background. The applicant will handle a variety of complex matters including entity structuring and formation, mergers and acquisitions, real estate purchase and sale transactions, and real estate finance. Have a strong emphasis on mergers and acquisitions transactions and general corporate maintenance and governance issues. Substantial mergers and acquisitions background is required (preferably on the buyer side), particularly with respect to conducting due diligence, and drafting and negotiating definitive acquisition agreements and ancillary documents, such as escrow agreements, transition-services agreements, commercial leases, and employment agreements. Knowledge and background in tax law, franchise law, joint ventures, exempt offerings, or employment law is a plus.
